Terms of Service

By accessing or using AgentixEdge LLC's platform, applications, APIs, agents, dashboards, or related services (the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

You must be at least 18 years old and capable of forming a binding contract. You may not use the Service if you are barred under applicable law or located in an embargoed jurisdiction or on a restricted-party list.

You are responsible for safeguarding your credentials and for all activity under your account. You must notify us promptly of any unauthorized use. We may suspend accounts we reasonably believe are compromised.

AgentixEdge, LLC ("AgentixEdge," "we," "us") grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service in accordance with these Terms.

You may not: (a) share, sell, or transfer credentials; (b) reverse engineer, decompile, scrape, or extract models, weights, or system logic; (c) use the Service to build, train, or support competing products or models; (d) use the Service unlawfully or in violation of third-party rights; (e) misrepresent Outputs or the Service; (f) circumvent rate limits, usage quotas, or security controls; (g) introduce malware or interfere with the Service's operation; or (h) use automated means to access the Service except through documented APIs.

You are responsible for the prompts, instructions, data, and configurations you provide to agents, and for the actions agents take on your behalf. You may not use agents to generate unlawful, infringing, deceptive, or harmful content, or to take actions you are not authorized to take. You remain responsible for reviewing agent actions before relying on them.

The Service is currently provided free of charge during the trial period. We may introduce fees in the future. If we do, we will describe the applicable fees, billing cycles, and terms at checkout or in an order form before they apply, and your continued use after fees take effect constitutes acceptance. Fees are non-refundable except as required by law. We may change pricing on prospective notice. You authorize us to charge your payment method for all applicable fees and taxes once paid plans begin.

You retain ownership of data you submit ("Customer Data"). You grant us a limited license to process Customer Data solely to provide, secure, and improve the Service. We do not use Customer Data to train our models. We retain Customer Data only as long as necessary to provide the Service or as required by law. Our handling of personal data is governed by our Privacy Policy.

All IP in the Service, including models, agents, software, and documentation, is owned by AgentixEdge or its licensors. No ownership transfers to you. Subject to these Terms, and as between you and AgentixEdge, you own Outputs generated specifically for you, except that AgentixEdge retains all rights in the underlying models and Service. If you provide feedback, you grant us a perpetual, royalty-free license to use it.

Outputs are informational only, probabilistic, and may be inaccurate, incomplete, or unsuitable for your purpose. They do not constitute financial, legal, tax, medical, or regulatory advice. You are solely responsible for evaluating and for any decisions based on Outputs. Outputs may not be unique; similar outputs may be generated for other users.

The Price Chart and any related data, metrics, signals, or visualizations are provided for informational and illustrative purposes only and should not be relied upon for trading or investment decisions. Data may be delayed and is not guaranteed to be accurate, complete, or current. Past performance is not indicative of future results. AgentixEdge is not a broker-dealer, investment adviser, or financial advisor. Use of the Price Chart is at your own risk.

The Service may integrate with or rely on third-party services. We are not responsible for third-party services, and your use of them is governed by their terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, ARE DISCLAIMED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIXEDGE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. AGENTIXEDGE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

You agree to indemnify, defend, and hold harmless AgentixEdge, LLC, its affiliates, and personnel from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use or misuse of the Service, your Customer Data, or your violation of these Terms or applicable law.

We may suspend or terminate access at any time, with or without cause. You may stop using the Service at any time. Upon termination, all licenses cease and you must stop using the Service. Sections that by their nature should survive (IP, disclaimers, limitation of liability, indemnification, governing law) survive termination.

Virginia law governs these Terms, without regard to conflict-of-law rules. Disputes shall be resolved by binding arbitration administered by the AAA under its Commercial Arbitration Rules, seated in Virginia. Class actions and class arbitrations are waived. Either party may seek injunctive relief in the state or federal courts located in Virginia.

We may modify these Terms. Material changes will be posted with an updated "Last Updated" date. Continued use after changes constitutes acceptance.

These Terms are the entire agreement between you and AgentixEdge regarding the Service and supersede prior agreements. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them freely.
